These Terms of Service ("Terms") govern your use of the Erys AI platform and services provided by Erys AI Ltd ("Erys", "we", "us", or "our"). By using our services, you agree to these Terms.

1. Service Description

Erys provides an AI agent platform that enables you to build, deploy, and manage teams of AI agents. Our services include:

AI agent creation, configuration, and management
Multi-channel communication (Telegram, Slack, WebChat, and more)
Session management with persistent memory
API access for integration with your applications
Dashboard for monitoring and administration

2. Account Registration

Eligibility

You must be at least 16 years old and capable of entering into a legally binding agreement to use our services. If you are using our services on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

Account Security

You are responsible for:

Maintaining the confidentiality of your account credentials
All activities that occur under your account
Notifying us immediately of any unauthorised access

We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised.

3. Acceptable Use

You agree not to use our services to:

Violate any applicable laws or regulations
Infringe intellectual property rights of others
Generate, distribute, or store illegal content
Harass, abuse, or harm others
Spread malware, spam, or phishing attempts
Attempt to gain unauthorised access to our systems
Interfere with the operation of our services
Circumvent usage limits or billing mechanisms
Resell or redistribute our services without authorisation
Use our AI agents to impersonate real individuals without consent

Content Guidelines

You are solely responsible for all content you create, upload, or generate using our services. This includes:

Agent configurations and prompts
Data shared with AI agents
Outputs generated by AI agents

4. AI Limitations and Disclaimers

AI systems have inherent limitations. You acknowledge and agree that:

AI-generated content may contain errors, inaccuracies, or biases
AI agents may not always produce expected or desired outputs
AI should not be used as the sole basis for critical decisions
We do not guarantee the accuracy, completeness, or fitness for purpose of AI outputs
You must review and verify AI-generated content before relying on it

Our AI agents are tools to assist you, not substitutes for professional judgement. For medical, legal, financial, or other regulated advice, consult qualified professionals.

5. Billing and Payments

Subscription Plans

We offer various subscription plans as described on our pricing page. Prices are quoted in the currency specified and exclude applicable taxes unless stated otherwise.

Payment Terms

Subscriptions are billed in advance on a monthly or annual basis
Payment is due at the start of each billing period
Failed payments may result in service suspension
We may change prices with 30 days' notice

Refunds

Annual subscriptions may be refunded within 14 days of purchase if you have not substantially used the service. Monthly subscriptions are non-refundable. Usage-based charges are non-refundable once incurred. Contact billing@erys.ai for refund requests.

Free Tiers and Trials

Free tiers and trials are subject to usage limits and may be modified or discontinued at our discretion. We reserve the right to limit free tier access to prevent abuse.

6. Intellectual Property

Our Property

The Erys platform, including its software, design, branding, and documentation, is owned by Erys AI Ltd and protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer our platform without permission.

Your Content

You retain ownership of content you create using our services. By using our platform, you grant us a limited licence to process, store, and transmit your content as necessary to provide our services.

AI-Generated Content

Subject to your compliance with these Terms and payment of applicable fees, you own the outputs generated by AI agents you configure and operate. However, similar outputs may be generated for other users, and we do not guarantee exclusivity.

7. Privacy and Data Protection

Our collection and use of personal data is governed by our Privacy Policy. By using our services, you consent to such collection and use.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We may suspend services for:

Scheduled maintenance (with reasonable advance notice where possible)
Emergency repairs or security updates
Events beyond our reasonable control

9. Termination

By You

You may cancel your subscription and close your account at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period.

By Us

We may suspend or terminate your account if you:

Violate these Terms
Engage in fraudulent or illegal activity
Fail to pay fees when due
Pose a security risk to our platform or other users

For material breaches, we will provide notice and an opportunity to cure where reasonable. For serious violations, we may terminate immediately.

Effect of Termination

Upon termination, your right to use our services ends. You may export your data before termination. We will retain your data for 30 days after termination to allow recovery, then delete it unless retention is required by law.

10. Limitation of Liability

To the maximum extent permitted by law:

Our total liability for any claims arising from these Terms or your use of our services shall not exceed the fees you paid in the 12 months preceding the claim
We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities
We are not liable for any damages resulting from AI-generated content or your reliance on AI outputs

These limitations apply regardless of the legal theory and even if we have been advised of the possibility of such damages. Some jurisdictions do not allow these limitations, so they may not apply to you.

11. Indemnification

You agree to indemnify and hold harmless Erys AI Ltd, its officers, directors, employees, and agents from any claims, damages, or expenses arising from:

Your use of our services
Your violation of these Terms
Your violation of any third-party rights
Content you create or generate using our platform

12. Dispute Resolution

We hope to resolve any disputes amicably. If you have a concern, please contact us at legal@erys.ai first.

If we cannot resolve the dispute informally, any legal proceedings shall be conducted in the courts of England and Wales, and you consent to the exclusive jurisdiction of those courts.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or a prominent notice on our platform at least 30 days before they take effect. Your continued use after changes take effect constitutes acceptance of the updated Terms.

15. General Provisions

Entire Agreement — These Terms, together with our Privacy Policy, constitute the entire agreement between you and Erys regarding our services
Severability — If any provision is found unenforceable, the remaining provisions remain in effect
Waiver — Our failure to enforce a right does not waive that right
Assignment — You may not assign these Terms without our consent; we may assign them in connection with a merger or acquisition
